These Terms & Conditions ("Terms") govern your use of wisexpd.com (the "Site") operated by WISEXPD LLP ("wiseXPD", "we", "us" or "our"). By accessing or using the Site you agree to these Terms. If you do not agree, please do not use the Site.

Part A below governs your use of the Site. Part B sets out the standard terms on which we supply our services. Every client engagement is also governed by an individual written agreement setting out scope, fees and start date; where that agreement conflicts with Part B, the individual agreement takes precedence. Nothing on the Site is itself an offer to contract.

Part A. Using this website

1. Using the Site

You may use the Site for lawful purposes only. You agree not to misuse the Site, including by attempting to gain unauthorised access, interfering with its operation, scraping or harvesting data, introducing malicious code, or using it in any way that breaches applicable law or infringes the rights of others.

2. Intellectual property

The Site and all of its content-including text, graphics, logos, designs, and the names and marks "wiseXPD", "wiseAds", "wiseFlows", "wiseLeads", "wiseSignals" and "wiseProfiles"-are owned by or licensed to wiseXPD and are protected by intellectual property laws. You may not copy, reproduce, republish, or distribute any part of the Site without our prior written consent.

3. No professional advice

Content on the Site is provided for general information only and does not constitute marketing, financial, legal, or other professional advice. You should obtain professional advice before acting on anything on the Site.

4. Enquiries and bookings

Submitting a form, joining the waitlist, or booking a call does not create a client relationship or any obligation on either party. Any services will be provided only under a separate signed agreement that sets out scope, fees, and terms.

5. Results and earnings

Any results, case studies, or figures shown on the Site are examples of past outcomes for specific clients, are not typical, and are not a promise or guarantee of future results. Please read our Earnings Disclaimer.

6. Third-party links

The Site may contain links to third-party websites or services that we do not control. We are not responsible for their content, policies, or practices, and links do not imply endorsement.

7. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including as to accuracy, reliability, or availability, to the fullest extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by law, wiseXPD shall not be liable for any indirect, incidental, special, or consequential loss, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including for death or personal injury caused by negligence or for fraud).

9. Indemnity

You agree to indemnify wiseXPD against any claims, losses, or costs arising from your misuse of the Site or breach of these Terms.

10. Changes

We may update these Terms or the Site at any time. Changes take effect when posted on this page; your continued use of the Site means you accept the updated Terms.

Part B. Terms for our services

B1. What we supply

wiseXPD supplies marketing management services to businesses: management of paid advertising on Meta (Facebook and Instagram) and of email and SMS marketing on Klaviyo, performed inside accounts owned by you. All services are supplied digitally and remotely. Nothing is shipped. What is delivered and when is set out in our Service Delivery Policy.

We supply to businesses, not to consumers. Where you nonetheless contract as a consumer, your statutory rights are not affected by these Terms.

B2. Fees and currency

All fees are quoted in US dollars (USD). We can invoice and accept payment in GBP, EUR, AUD, CAD and the other major currencies our payment provider supports; the currency of your invoice is agreed with you before the first charge. wiseXPD is not VAT registered, so no VAT is charged. Current prices are published on our home page. The fee that applies to you is the one stated in your written agreement.

Advertising budget is not part of our fee and is never paid to us. You pay Meta, Klaviyo and every other platform directly, on your own payment method, under your own account.

B3. Payment

The Growth Plan is payable in full on booking. Ongoing monthly fees are payable monthly in advance, on the same day each month, for the month ahead. We issue an invoice before every charge.

We accept credit and debit card (Visa and Mastercard), Apple Pay, Google Pay and bank transfer. Card and wallet payments are taken through a secure payment link issued with the invoice. We do not see or store your full card details. Monthly fees recur until cancelled in accordance with B4.

Invoices are due on receipt. If an invoice is unpaid 7 days after its due date we may suspend work on written notice until it is settled.

B4. Term, notice and cancellation

Ongoing services run for a minimum term of three months from the start date, then continue on a rolling monthly basis. Either party may cancel on 30 days written notice. The notice period is invoiced and worked in full. Removing or revoking our access to your accounts constitutes notice. Cancellation and refunds are set out in full in our Refund & Cancellation Policy, which forms part of these Terms.

B5. Your responsibilities

You agree to grant and maintain the account access we need to perform the services, to nominate one named approver, and to approve cycle plans in writing before launch. Where access or approval is delayed, delivery timelines move by the length of that delay. You remain responsible for the content and legality of your own products, offers and claims, and for complying with the terms of the advertising platforms you use.

B6. Ownership of what we build

You own your Meta, Klaviyo and Shopify accounts, your customer data, and the brand-specific assets we create inside those accounts for you. wiseXPD retains ownership of its own templates, frameworks, methodologies and systems, which are licensed to you for the term of the engagement only and are not transferred.

B7. No guarantee of results

We commit to performing the services and delivering the deliverables described in your agreement. We do not guarantee any revenue figure, return on ad spend, or other financial outcome, and no employee or representative of wiseXPD is authorised to give such a guarantee. B8. Confidentiality and data

Each party will keep the other's non-public business information confidential. Our handling of personal data is set out in our Privacy Policy. Where we process personal data on your behalf in the course of the services, we do so as a processor on your documented instructions under the terms of your agreement with us.

11. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from them.
